1-ADP Network Services agrees to buy OneClickHR

U.S. payroll processing company Automatic Data Processing Inc has agreed to buy OneClickHR, a British provider of software to the human resources sector, for 15.6 million pounds ($25.4 million).

ADP will pay 10.5 pence for each OneClickHR share, representing a 9 percent premium to the closing price on Monday, in a deal it said would marry the capabilities in OneClickHR’s products with its industry-leading payroll software.

OneClickHR’s chief executive Frank Beechinor-Collins said in a statement on Tuesday that the combination of the businesses would benefit customers and staff of OneClickHR and represented good value for shareholders.

OneClickHR was established in 1996 and listed on London’s junior AIM market in 2000 at 45 pence although shares have been trading at below the offer price for most of the last five years. It posted a 20 percent increase in revenue of 3.26 million pounds for the first half. (Reporting by Paul Sandle; Editing by Victoria Bryan) ($1=.6140 Pound)
