DEFINITIONS

• "You" - the business/individual entering into this agreement
• "PayPerShop" - the proprietors of the PayPerShop website
• "Advertising Period" - the period to which this agreement refers, namely the 12-month period beginning on the date that you submit the "£99 Special Form"
• "PayPerShop Website" - the internet website whose home page is located at http://www.paypershop.com
• "Materials" - any banners, buttons, logos, text, or other items of whatever nature provided by you for advertising on the PayPerShop Website or in the Newsletter

GENERAL

Within the provisions of this agreement, PayPerShop undertakes to provide the advertising on the PayPerShop website set out in Schedule 1 (below).

PayPerShop makes no guarantees with regard to click-thru rates on your banner or logo, or visits to your website, or any product/service sales resulting from this agreement.

ADVERTISING

Advertising in the PayPerShop Website or the Newsletter is provided on the basis that you already have full rights to use materials for such advertising. All materials shall contain accurate information that does not infringe any copyright, patent, trademark, trade secret or any other right of any third party. In providing materials for the PayPerShop Website or the Newsletter, you agree that PayPerShop will not be liable for any damages that may arise from such use of the materials.

PayPerShop reserve the right to refuse to use any materials that appear to PayPerShop to be in breach of these conditions.

LIABILITIES

In the event of a disagreement or dispute of any nature between the parties to this agreement, both parties will endeavour to resolve the matter amicably. If the matter cannot be resolved, either party has the right to withdraw from the agreement. Any liabilities under this agreement and any refund of monies paid will be limited to the annual fee paid by you, reduced, as appropriate, by an amount that reflects (1) the number of whole calendar months remaining in the Advertising Period, and (2) the amount of advertising that has already been provided.

RENEWAL

You will be given the opportunity to renew this agreement for a further year during the final month of the Advertising Period. If a commitment to renew has not been received by the end of the Advertising Period, the position will be made available to other businesses.

SCHEDULE

You will receive the following advertising, subject to them meeting the conditions defined in this agreement.

1. A "level 2" supplier advertising page on the PayPerShop Website, attached to your "level 1" contact information. The page will consist of a maximum of 200 words and one logo or picture.
2. Up to two additional category listings in the PayPerShop Website directory.
3. 1000 Banner impressions. Only one banner may be used.
